Emma Jane is a private chef, regenerative farmer, event stylist and coordinator.

Our produce is grown and harvested on our Southern Highlands farm using regenerative and biodynamic farming practices, so you know they are clean and highly nutritious. We also source produce from local like-minded farmers and growers.

We are mindful of harvesting, preparing and cooking our produce at its freshest and creating a menu of delicious and nutritious food for you, your family, friends and colleagues.

AGREEMENT TO PROVIDE CATERING SERVICE

 1. Definitions

 In this contract, the following words have particular meanings:

 Function, Location, Date, Start Time, End Time, Facilities, Price, Deposit, and Extras have the meanings given in schedule 1.

 Catering Services means the Table styling, hire, food preparation, cooking, serving and waiting services to be provided by me to you for the Function, at the Location on the Date.

 Order Form means the form and Schedule 1 which indicates the Catering Services that you wish for me to provide and the Price at which I am willing to provide those Catering Services (also other details relating to your order as described in the Quotation and Menu provided separately) subject to the terms and conditions of this contract.

 Parties means you and me, and Party shall mean either one of us.

 I, me, my etc means The Still Room 1710.

 You, your etc means the person described under “Customer” above and who places an order with me for Catering Services.

 2.Supply of Catering Services

 (a)  I will supply the Catering Services for the Function on the Date, beginning at the Start Time and finishing at the End Time. You will pay the Price at the time stated in the Menu & Quotation.

 (b) I will provide the Catering Services

(i)   with reasonable care and skill;

(ii) in accordance with the food catering industry standards for hygiene and general cleanliness concerning:

(A)   the preparation and cooking of food; and

(B)  the handling and service of food, beverages, utensils, and tableware; and

(iii)in compliance with statutory and regulatory requirements affecting the preparation, cooking, handling, and service of food.

 

(c)  A binding contract between you and me will come into being only when the deposit is paid.

 

(d) Although there may be a binding contract between us, the Date will not be binding on me until I receive your Deposit and the amount stated on the Menu & Quotation for the estimated Extras.

 

3. Deposit, Price, and Payment

3.1  Deposit

  You will need to pay the 50% Deposit and the amount for the estimated Extras at the time you place the order for the Catering Services.

3.2  Payment

(a)   you will need to pay the balance of the Price 7 days before the Function and supply proof of payment via email to The Still Room 1710.

(b) You will pay for the Extras (or any additional extras, if you have already made a payment at the time you made your order) when I provide you with an invoice for them.

(c)  All amounts stated shall be exclusive of any GST that may be charged by the Caterer to the Customer, and therefore, the Caterer will be entitled to add on GST.

 3.3    Calculation of price

(a) The Price is calculated, in part, on the following:

(i)         the number of adults and children who will be attending the function;

(ii)       the type of menu you have chosen;

(iii)    the day the Function is to take place; and

(iv)     the time of day when the Function will be held.

 

 

(b)   If you change any of these after you have placed your order, then I will have the right to recalculate the Price you will need to pay me.

(c)   If you do not wish to pay the new Price, then you may terminate this contract.

(d)   If you do terminate the contract in these circumstances you may have to pay for me for the reasonable costs, expenses, or other amounts which I cannot reasonably avoid because of the termination of the contract. Termination is dealt with further in clause 4 below.

 

      3.4 Extras

(a)    the Price does not include the Extras.

(b)   the Extras are charged in addition to the Price. Where possible, these will be estimated, and stated on the Menu & Quotation at the time you place your order. If they are estimated, you will be required to pay the estimated cost of the Extras at the time you place your order.

(c)    The cost of some Extras are based on the amount that you consume or use at the Function. In some cases, I can purchase them on a ‘sale and return’ basis (such as more expensive wines). At the end of the Function, I will normally be able to provide you with the final cost of the Extras.

 

3.5     Increase of price

 

(a)  if there is a period of more than seven days between the date when you place your order and the date when I buy the food, drinks and ingredients then I reserve the right to increase the Price to cover any increase in the cost of those items.

(b) If you do not wish to pay the new Price, then you may terminate the contract. If you do terminate the contract, you may have to pay me for any costs, expenses, or other amounts which I cannot reasonably avoid because of the termination of the contract. This is set out in clause 4 below

 

4.   Cancellations and changes in the number of persons attending a function 

(a) If you terminate the contract between us, I may need to charge you for certain unavoidable costs. If you wish to reduce the number of persons attending the Function, I may not be able to reduce the amount I charge you.

(b) I need to buy food and other consumables in advance. At the time you terminate (or the date you let me know you wish to reduce the number of persons attending) I may have already purchased the food and other consumables to be used at the Function. It is often not available to me to return the food to the person who sold it to me or to use it at another catering function. Food often cannot be stored, and it will deteriorate, and will often not be usable beyond a “use by” date.

(c)  In addition, I often need to make arrangements in carrying out significant planning for providing the Catering Services at the Function. I need to do this planning in advance of the date. If you terminate the contract, I may have already spent time in doing this.

(d) Where you terminate the contract at any time up to fourteen working days before the date you will only forfeit the Deposit.

(e)  If you cancel the Function less than seven days before the Date then I normally expect you to pay the whole of the Price, less any amounts that I can reasonably avoid paying for food or other consumables or Extras.

(f)   If you reduce the number of persons attending the Function less than four working days before the Date, then the whole of the price will be payable.

(g) If you notify me more than seven working days before the Date then I may be able to purchase less food and other consumables and will, where possible, reduce the Price to reflect the lesser amounts purchased.

 

5. My requirements.

(a)  On the Date I need access to the location:

(i)          45 minutes before the Start Time; and

(ii)        for at least 45 minutes after the End Time to clean up and clear away.

(b) During the function I may need to be able to enter and leave the Location.

(c)  While the function is taking place you will need to let me:

(i)          have access to a sink with hot and cold water supply;

(ii)        have access to the Facilities;

(iii)           have access to a general waste and recycling bins;

(iv)          use the electricity from standard Australian sockets;

(v)         use a toilet and washing facilities;

 

 (6)  Your obligations

(a)  you will:

(i)         make the Location and Facilities available on the Date;

(ii)       ensure that your guests and other persons attending the Function behave in a polite and reasonable manner to me and my staff during a Function;

(iii)      finish the Function by the end time.

(b)   You agree that if the Function continues beyond the End Time that you will pay my reasonable additional charges and expenses (hourly rates are set out in the Menu & Quotation)

(c)  if children are to be present at the Function:

(i)         you will ensure that there are a sufficient number of adults present to properly supervise them and take care of them in the event of accidents or other events; and

(ii)       you acknowledge and agree that I will not be responsible for supervising or taking care of children or deal with any matter where their health or care is involved.

 


7      Liability and indemnity

7.1      Limitation on my liability to you

(a)  My liability to compensate you for any loss or damage (in the case of loss or damage other than death or personal injury) is limited to a reasonable amount, having regard to such factors as whether the damage was due to a negligent act or omission by me.

(b) My liability for death or personal injury is also subject to the limitations set out in the clause 7.2 below

 

7.2     Limitation of liability for personal injury and death

(a)       I will compensate you for any loss or damage you may suffer if I fail to carry out duties imposed on me by law (including if I cause death or personal injury to you or those who could be reasonably foreseen as being subject to the Catering Services, by my negligence).

(b)       Clause 7.2 (a) applies unless that failure is attributed to:

(i)     Your own fault:

(ii)        a third party unconnected with the provision of Catering    Services under this contract; or

(iii)     events which I could not have foreseen or forestalled even if I        had taken all reasonable care.

(c)  The Still Room 1710 will not assume any liability for adverse reactions to foods consumed, or items one may come in contact with while eating food prepared and cooked by us.

 

 

8.    Duration and termination

(a)  This contract will come into effect on the date that the deposit is paid, and, unless terminated earlier or as otherwise provided in this contract, will terminate automatically when I have completed performing the Catering Services.

(b) On termination of this contract, you must pay for all Catering Services (and Extras purchased) I have provided up to the date of termination.

(c)  On termination, you must pay all amounts falling due for payment after the date of termination from commitments I have reasonably unnecessarily incurred for the performance of the Catering Services prior to the date of termination.

 

9.  Assignment

(a)   subject to clauses 9(b) and 9(c) I can allow others (either in my place or together with me) to provide the Catering Services.

(b) I will seek your prior written agreement in the event that I decided to assign, delegate, subcontract or otherwise transfer any or all of my rights and obligations under this agreement.

(c)  If other persons perform the Catering Services, I will still continue to be responsible for the performance of the Catering Services and my obligations under this contract.

 

10. Contacting each other

(a) If you wish to send me any notice or letter, then you should send it via the email address provided.

(b) If I wish to send you a letter or notice, I shall use the email address you have given on the order form.

 

11. Law and jurisdiction

(a) This contract takes effect, is governed by, and shall be construed in accordance with the laws from time to time in force in New South Wales, Australia.

(b) The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

The Still Room acknowledges Aboriginal and Torres Strait Islander peoples as custodians of traditional land and waters of Australia.
